A meeting of the members of Smart Wires Technology Ltd. (“Smart Wires” or the “Company”) was held today, 22 December 2021.

In the meeting, the members of Smart Wires resolved to adopt the proposed 2021 Omnibus Incentive Compensation Plan of the Company (the “2021 Plan“) as proposed by the board of directors and substantially in the form appended to the notice conveing the meeting. The purpose of the 2021 Plan is to attract, motivate and retain employees of the Company and its subsidiaries, certain consultants and advisors who perform services for the Company or its subsidiaries, and non-employee members of the Board or board of directors or similar body of any of the Company’s subsidiaries. The 2021 Plan was approved and authorised for all purposes.
